Our Equity Capital Markets team provides expert advice to UK and international clients on a wide range of equity capital market transactions, including IPOs and secondary fundraisings.

We act for issuers, shareholders, management, financial advisers, nomads, underwriters and other intermediaries.

We work across sectors, and understand equity capital market transactions from all vantage points. Combining our expertise and experience in complex equity capital markets transactions with sector-specific knowledge and insights, we also collaborate with specialist employment, IP, tax and other lawyers across the firm to deliver focused and pragmatic advice for our clients.

Advising US medical technology group, AOTI, Inc. in relation to its £140 million IPO on AIM.

ITM Power plc

Advising energy storage and clean fuel company, ITM Power plc, on its £172 million placing, open offer and subscription by, and strategic partnership with, Snam S.p.A., being the ninth successful fundraising where we acted for ITM, having originally advised on its IPO on AIM.

SEC Newgate S.p.A.

Advising AIM-traded, SEC Newgate S.p.A, on its merger with Porta Communications Plc, constituting a reverse takeover under the AIM Rules and requiring the combined group’s re-admission to AIM.

Newbury Racecourse plc

Providing guidance on a fully underwritten rights issue and successfully defended the board against a hostile takeover bid by Guinness Peat Group.

Gooch & Housego plc

Advising specialist optical components and systems manufacturer, Gooch & Housego plc, on a fully underwritten secondary placing to fund the acquisition of a US competitor.

WH Ireland (now Zeus Capital)

Advising WH Ireland, as NOMAD and broker, in connection with (i) the IPO of Northcoders Group plc (and its subsequent fundraisings) (ii) the acquisition by way of reverse takeover by Drumz plc of Acuity Risk Management Limited and (iii) various fundraisings by a number of AIM -traded companies.
