The Corporate and M&A team from independent UK law firm Burges Salmon has advised AM Group on its strategic partnership with Urban Automotive and NewPort Capital. This significant transaction establishes a premier European organisation dedicated to the production and distribution of high-end modifications for luxury vehicles.
The AM Group, which includes GP Products, Absolute Motors BV, and Studio Unknown, operates as a leading entity in the automotive aftermarket sector. GP Products is recognised as a top aftermarket wholesaler in Europe, Absolute Motors specialises in vehicle personalisation for a global clientele, and Studio Unknown serves as the group’s data-driven content and lifestyle agency.
As part of this strategic collaboration, Urban Automotive, based in Milton Keynes, UK, has joined the AM Group. Urban Automotive is renowned for its high-quality aftermarket products designed for the personalisation of luxury vehicles from prestigious brands such as Land Rover, Rolls-Royce, Bentley Motors, Automobili Lamborghini S.p.A., Mercedes-Benz AG, BMW Group, and AUDI AG.
This partnership further solidifies the bond between AM Group and Urban Automotive, enabling them to combine their expertise and resources to strengthen their position in the international market.
Burges Salmon worked closely with Dutch law firm Stek (Dierik Cras, Jasper Stek, Tom van den Bosch) in advising AM Group on the acquisition. The Burges Salmon team was led by partner Richard Spink and associate Chloe Adil from the firm’s Corporate and M&A team.
Richard says: “We are really delighted to have advised AM Group on this landmark partnership. This collaboration enhances AM Group’s capabilities in the luxury vehicle market and we look forward to seeing the combined entity thrive in the international arena.”
Luis Carrera, from AM Group, adds: “As we integrate our operations and leverage our collective strengths, AM Group will spearhead a transformation that challenges the status quo, driving rapid growth and establishing new benchmarks for excellence in the sector. Structuring this deal has been a relatively complex operation, given that we worked simultaneously on closing deals with Urban in the UK, NewPort Capital in the Netherlands and several debt providers across Europe. The Burges Salmon team, led by Richard Spink, provided unwavering support 24/7 whenever needed.”
Burges Salmon has a strong Corporate practice advising clients across a broad range of sectors. Much of the firm’s work has an international element, helping overseas clients expand into the UK and supporting UK-based businesses grow internationally. Co-ordinating advice for clients across jurisdictions, the firm acts for multi-national organisations and institutions, entrepreneurial businesses and high net worth individuals.
