Burges Salmon’s Corporate team has advised global and diversified specialty chemicals company Element Solutions on its cross-border acquisition of H.K. Wentworth Group (HKW), a leading UK-based manufacturer of electro-chemicals for the electronics, LED, automotive and industrial manufacturing industries.
HKW is a global specialist in formulated chemical solutions with a presence in over 55 countries and manufacturing facilities in the U.K., India and China. The business serves a range of end-markets including military and aerospace, medical, consumer electronics and automotive.
The $60 million acquisition, funded from cash on hand, will see Element Solutions grow the HKW business alongside its own electronics portfolio, to offer high-quality solutions that meet the requirements to protect electronics hardware in demanding applications.
The multidisciplinary Burges Salmon team advising Element Solutions on the acquisition was led by Corporate partner Camilla Usher-Clark, with support from specialists across the firm, including Corporate senior associate Peter Dunn, associates Bethan Penrhyn-Jones and Genevieve Vaughan, and trainee solicitor Carly Phillips-Jones.
Legal advice in respect of the Chinese and Indian aspects of the transaction was provided by law firms Ribeiro Hui (China) and Khaitan (India) respectively, with whom the Burges Salmon team worked closely.
