Burges Salmon, one of the leading law firms in the UK, has advised specialist optical components and systems manufacturer Gooch & Housego Plc on the acquisition of two companies.
Gooch & Housego acquired the entire issued share capital of Spanoptic Limited, a Glenrothes Scotland-based manufacturer of precision optical components, and of Constelex Technology Enablers Limited, an Athens, Greece-based designer and manufacturer of optical fibre amplifiers and lasers.
A multi-disciplinary team of lawyers from Burges Salmon, led by its head of Corporate Finance Richard Spink, provided advice to Gooch & Housego on the terms of the Spanoptic acquisition, which included corporate and tax advice and commercial advice on the terms of a preferred supplier agreement.
For Constelex, Burges Salmon provided corporate advice on the terms of the acquisition and co-ordinated the involvement of Gooch & Housego's Greek lawyers, Kyriakides Georgopoulos.
Richard Spink said: “These acquisitions by Gooch & Housego Plc were undertaken to complement its existing capabilities and to enhance its ability to provide complete sub-system solutions to its customers in line with its strategic objectives. We are delighted to have been able to advise on these deals, which builds on our long-standing relationship with Gooch & Housego.”
