Burges Salmon has advised certain members of the Swift management team in connection with the acquisition of the Swift group by Wellspring Capital Management from Gresham Private Equity.
Swift, which is headquartered in Houston Texas, is one of the world’s leading providers of contract engineers and other skilled personnel to the global oil and gas industry.
A team from Burges Salmon, led by corporate partner Mark Shepherd and including Jennifer Myram (Corporate) and John Manis (Tax), acted as English legal advisers to certain members of the Swift management team, who invested alongside Wellspring on the acquisition.
Burges Salmon worked alongside US law firm, Thomson Hine LLP, and HMT LLP, who provided US legal advice and corporate finance advice, respectively.
Tobias Read, chief executive officer of Swift said: 'This was a complex international transaction. Burges Salmon were excellent.”
Mark Shepherd said: “It has been a pleasure supporting Tobias and his team through to the successful conclusion of this complex cross-border transaction. We look forward to watching Swift continue to go from strength to strength under their management, backed by Wellspring.”
Ian Barton, partner at HMT, said: 'Having worked with Swift since Gresham’s original investment, I am delighted to have helped the company and the management team transition to their next phase of growth alongside Wellspring. This was a complex deal that involved all advisers working effectively together across several jurisdictions to produce a successful outcome. We congratulate Tobias and his team and wish them well for the future.”
