Sam Taylor Solicitor

Sam is a solicitor in our Corporate Incentives team, who works on a broad range of UK and international share plan arrangements.

Sam’s work has a particular focus on the structure and implementation of both non-qualified and tax-qualified share plans. Sam also advises management teams and has experience advising on the share scheme and incentives aspects of M&A transactions.

Sam is a member of the Share Plan Lawyers Group.

• Advising a consortium on a £900m acquisition and subsequent de-listing of a FTSE250 company, including liaising with the Takeover Panel in respect of the company’s active incentive plans.
• Advising a FTSE250 asset management company on the sale of its £7.5bn assets under management private equity business and the subsequent impact on its ongoing incentives structure.
• Advising a digital challenger bank on the restructuring of a management incentive plan and the implementation of a new growth share structure.
• Advising a major international food delivery company on the implementation of an international share incentive plan.
• Advising an international technology and software firm on the implementation of an innovative incentive scheme based on non-fungible tokens.
